This seminar will provide an overview of opportunities to attract international investment into property and consider how the Isle of Man can complement local professional advisers. Our expert speakers will cover a range of topics including attracting investment through listing, Real Estate Investment Trusts and tax considerations from both a UK and Isle of Man perspective.

Rachel Hooper, SMP Partners will explore commercial property taxation, UK tax and relevant international investor considerations. This will include changes to the taxation of corporate non-resident landlords, Capital Gains Tax on commercial property, indirect disposal of UK property and VAT.

Carolyn Gelling, The International Stock Exchange will focus on Real Estate Investment Trusts (REITS), what are they and why may want to consider using them. Anne Couper Woods will talk through an Isle of Man incorporated UK REIT and cover its growth story from incorporation in 2004. Anne was company secretary from July 2007 until December 2013.

Listed companies are estimated to have US$3.3 trillion of lease commitments, over 85% of which do not appear on their balance sheets. Luke Ryan, KPMG, will discuss how the new lease accounting standard radically overhauls lessee accounting - bringing these assets and liabilities onto the balance sheet - and how this change is making companies reconsider the terms and structure of lease agreements/business models.

About the Speakers:

Anne Couper Woods Executive Director - IQE

Anne joined IQE in 2005 and is an executive director and the Company Secretary. Having commenced a career in company and trust administration at the start of the 1990s she has a wide range of experience in company secretarial practice, trust administration and corporate governance. Anne is a Fellow of the Institute of Chartered Secretaries and Administrators and a director of the Association of Fiduciary Service Providers (‘ACSP’), which represents the fiduciary services sector in the Isle of Man.

Anne has responsibility for the Private Client and Corporate Departments. Anne has been Company Secretary on a number of Isle of Man companies which were admitted to AIM and for seven years was Company Secretary for Redefine International P.L.C., which is dual listed on the Main Market of the London Stock Exchange and the Jo’burg Exchange, until the Company acquired UK approved REIT status in December 2013.

Carolyn Gelling Head of Isle of Man Office -

Carolyn Gelling, Chartered FCSI, Chartered Wealth Manager, Dip (IoD) – Carolyn is Head of Isle of Man Office for The International Stock Exchange Group. With over 20 years of financial services industry experience, Carolyn is a technical investment manager by training whose career to date has encompassed asset management, investment analysis, investment operations, before progressing into corporate governance and business and strategic development, for private clients and their structures, institutional clients, funds and investment businesses in both the UK and international business jurisdictions and for whom she has held board positions. Carolyn also has a wealth of experience of small business establishment and ‘scale up’ businesses.

She is a past Chairman of the Isle of Man Wealth & Fund Services Association and currently serves as a Committee Member of the Isle of Man Branch of the Institute of Directors, the Isle of Man Branch of the Chartered Institute for Securities & Investment (CISI) and the Isle of Man Chamber of Commerce Finance & Professional Services Committee.

Rachael Hooper Senior Manager, Tax Department - SMP Partners

Rachael Hooper is responsible for international tax advisory services provided to private clients, trusts and companies. Rachael is a Chartered Accountant and Chartered Tax Advisor.

Rachael qualified with PwC in the Isle of Man while working within their Tax Department and has been with the company since 2012.

Luke Ryan Manager, Accounting Advisory Services -

Luke is a manager in the Accounting Advisory Services team responsible for delivering projects across the North of England.

He specialises in assisting clients understand and implement new accounting standards (such as IFRS 16: Leases) and has been working with a wide variety of clients across the region including retailers, manufacturers and technology companies. Luke is also experienced in providing accounting advice on complex group reorganisation and tax structuring projects.
